Terms of Service — ParkOS

These Terms of Service (“Terms”) govern your access to and use of ParkOS, provided by ParkOS (“ParkOS”, “we”, “us”, “our”), available at parkingmanager.online.

By creating an account or using ParkOS, you (“you”, the “Operator”) agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “Service” — the ParkOS software, including the web application, mobile apps, and related services.
  • “Operator” — the business or person who registers for and uses ParkOS to manage one or more parking lots. The Operator is our customer.
  • “Members” — the individuals whose parking, membership, and payment records an Operator manages within the Service.
  • “Staff” — the additional users an Operator invites to use its account.
  • “Content” / “Operator Data” — the data an Operator enters or generates in the Service, including member, vehicle, payment, and receipt records.
  • “Subscription”— the Operator's paid or free plan for the Service.

2. Account and eligibility

  • You must be a business or an individual at least 18 years old, able to enter into a binding contract under Indian law, and using the Service for a lawful parking-management purpose.
  • You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity under your account, including activity by your Staff.
  • You are responsible for the Staff accounts you create and for the access levels (roles) you assign to them.

3. Subscription plans and billing

  • Plans and pricing: ParkOS is offered on the plans and prices published at parkingmanager.online/pricing. Pricing is metered by the number of member accounts you manage; staff logins are unlimited and free on every plan. Prices are the same across web, mobile, and API.
  • Free tier: A free tier is available for Operators managing up to 20 member accounts. We may change the limits of, or discontinue, the free tier on reasonable notice.
  • Annual billing: Annual plans are billed once for the year and include a discount equivalent to two months free compared with paying monthly.
  • Upgrades and changes: If you move to a higher tier mid-cycle to manage more member accounts, charges may be prorated or adjusted as described at the point of purchase.
  • Taxes / GST: Prices are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, including GST, which will be added where required.
  • Payment and auto-renewal: Paid subscriptions are billed in advance for the billing period and, unless you cancel before renewal, renew automatically for successive periods at the then-current price. Recurring online payments are processed through Razorpay; by subscribing you authorise the applicable recurring charge.
  • Refunds: Fees already paid are non-refundable, and cancelling does not entitle you to a refund for the remainder of a billing period already paid for (including the unused portion of an annual plan). We may, at our discretion, issue a pro-rata credit or refund in individual cases. Nothing here limits any refund you are entitled to under applicable law.
  • Non-payment: If a payment fails or a subscription is not paid, we may, after reasonable notice, suspendthe Operator's access until payment is made, and may terminate the account for continued non-payment (see Section 9).

4. Acceptable use

You agree not to:

  • use the Service unlawfully, or to store or process data you have no lawful basis to hold;
  • upload malware, attempt to breach or bypass security or tenant isolation, or access another Operator's data;
  • reverse-engineer, resell, or provide the Service to third parties except as your own parking-management tool, unless we agree in writing;
  • overload or interfere with the Service, or use it to send unlawful, harassing, or unsolicited communications;
  • use the Service to store data unrelated to legitimate parking-lot management.

We may suspend access to address a material or ongoing violation, with notice where practicable.

5. Your responsibilities as Data Controller

For the Member, vehicle, and Staff data you enter, you are the Data Fiduciary / Controller and ParkOS is the Processor acting on your instructions (see the ParkOS Privacy Policy). You are responsible for:

  • having a lawful basis under the DPDP Act, 2023 and other applicable law to collect and store that data in ParkOS;
  • obtaining any required consentfrom your Members (and, for a child's data, from a parent or lawful guardian) and providing them the notices the law requires;
  • keeping the data you enter accurate and lawful, and responding to your Members' data-principal requests (we will assist, as described in the Privacy Policy);
  • ensuring your Staff use the Service in line with these Terms.

You will not hold ParkOS responsible for your failure to meet these obligations, and you agree to the allocation of responsibility in Section 8.

6. The Service, availability, and changes

  • We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation and do not offer a specific uptime guarantee unless separately agreed in writing.
  • We may perform maintenance, and will aim to schedule planned maintenance to minimise disruption and give notice of significant planned downtime where practicable.
  • The Service is offline-first: the mobile app stores data locally on the device and synchronises when a connection is available. You are responsible for the devices you use and for keeping the app updated.
  • We may add, change, or remove features over time. We will not make a change that materially reduces core functionality of a paid plan without reasonable notice.

7. Intellectual property

  • ParkOS, including its software, design, and trademarks, is and remains our property (or our licensors'). We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.
  • Your data is yours. You retain all rights in your Operator Data. You grant us the limited right to host, process, and transmit it solely to provide and support the Service.

8. Disclaimers and limitation of liability

  • The Service is provided “as is” and “as available”, without warranties of any kind except those that cannot be excluded under applicable law. We do not warrant that the Service will meet every requirement or be uninterrupted or error-free.
  • ParkOS is a record-keeping and management tool. You are responsible for the accuracy of the records you enter and for your own financial, tax, and legal compliance. Cash and UPI payments are recorded by you; we do not verify that a recorded payment was actually received.
  • To the maximum extent permitted by law, ParkOS is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill.
  • To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the total fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim.
  • Nothing in these Terms excludes liability that cannot be excluded under applicable Indian law.

9. Suspension and termination

  • By you: You may cancel your subscription at any time as described in the Service; cancellation takes effect at the end of the current billing period unless stated otherwise.
  • By us: We may suspend or terminate your access if you materially breach these Terms, fail to pay after notice, or use the Service unlawfully or in a way that threatens the Service or other Operators.
  • Admin/account blockage: Where required for non-payment or a serious breach, we may block administrative access to an account, with notice where practicable, until the issue is resolved.
  • Suspension is preferred over termination where the issue can be cured; we will give reasonable notice and an opportunity to cure where practicable.

10. Data export and deletion on termination

  • Before terminating, and for a reasonable period afterward, you may export your Operator Data through the Service or by request in a machine-readable format (such as CSV).
  • After that period, and subject to any legally required retention (for example of financial/tax records), we will delete or irreversibly anonymise your Operator Data, and deletions will propagate to backups as they cycle out on their normal rotation.
  • If your account is terminated for non-payment, we will provide a reasonable window to settle dues and export data before deletion.

11. Governing law and dispute resolution

  • These Terms are governed by the laws of India.
  • The courts of competent jurisdiction in India have exclusive jurisdiction over disputes arising out of or relating to these Terms.

12. Changes to these Terms

We may update these Terms from time to time. For material changes, we will update the “Last updated” date and notify Operators through the Service or by email. Continued use of the Service after an update means you accept the updated Terms.
